Membership and User Agreement
1 - PARTIES
This Membership and User Agreement ("User Agreement") has been prepared for the User who enters and/or becomes a member of the Website by accessing Plus Clinic and for the purpose of using the Website by the User in the electronic environment where the Website is located, at the moment of approval by the User.
The User declares and undertakes that by accessing the Website and/or becoming a member, he/she has read the entire User Agreement, fully understood its content, and accepted all its provisions.
2 – DEFINITIONS
Buyer: Refers to the user who purchases the goods and/or services offered for sale by the Seller by using the Services provided on the Website.
Plus Clinic: Refers to CNS Sağlık Hizmetleri Turizm Danışmanlık Ticaret Ltd.
"Service" in short: Refers to the applications presented within the Website by Plus Clinic to enable Users to perform the transactions and operations defined in the User Agreement.
User/Member: Refers to the natural or legal person who logs in and/or becomes a member of the Website and benefits from the Services offered on the Website within the framework of the terms and conditions specified in this User Agreement. Sellers and Buyers become Users by registering on the Website.
Seller: Refers to the person who, by using the Services provided on the Website, offers for sale the goods and/or services that he/she legally owns and has the right to dispose of on the property to other Users.
Product: Refers to any kind of goods and/or services offered for sale by the Seller on the website.
Website: Refers to the website consisting of the domain name https://plus.clinic/ and its subdomains.
3 - SUBJECT AND SCOPE OF THE AGREEMENT
3.1. The subject of the User Agreement is to determine the terms and conditions of the Services offered on the Website, the conditions for benefiting from these services, and the rights and obligations of the parties.
3.2. The scope of the User Agreement includes all statements such as warnings, texts, and explanations made by Plus Clinic regarding the use, membership, and Services within the Website, as well as the User Agreement and its annexes.
3.3. By accepting the provisions of the User Agreement, you also agree to comply with all kinds of statements made by Plus Clinic regarding the use, membership, and Services within the Website and to act in accordance with these statements.
4 - MEMBERSHIP AND TERMS OF SERVICE USAGE
4.1. Membership is completed by registering on the website by submitting the required information to become a User and by the confirmation of the registration by Plus Clinic. Without completing the membership process, one cannot have the right and authority to be defined as a User in this User Agreement.
4.2. To become a member of the website, one must be of legal age and not have been temporarily suspended or permanently banned from membership by Plus Clinic. Those who are under the legal age or who have been temporarily suspended or permanently banned from membership by Plus Clinic, as specified in Article 5.2 of this User Agreement, cannot become a member of the website even if they have completed the website registration process.
5 - RIGHTS AND OBLIGATIONS
5.1. User's Rights and Obligations
The User acknowledges, declares and undertakes to comply with all the terms and rules specified in the User Agreement, the rules stated on the Website, and all applicable legislation when fulfilling the membership procedures, benefiting from the Services on the Website, and performing any transactions related to the Services on the Website.
In cases where it is alleged that the rights of other Users or third parties are violated in accordance with the provisions of the Privacy Policy and the mandatory provisions of the applicable legislation, the User acknowledges, declares, and undertakes that Plus Clinic is authorized to disclose its confidential/private/commercial information to the competent authorities and the rights holders, and that no compensation can be claimed from Plus Clinic under any title.
The security, storage, and use of access tools (user name, password, etc.) that Users use to access the system they use to benefit from the Services provided by Plus Clinic are entirely the responsibility of the Users. Plus Clinic shall not be held directly or indirectly liable for any negligence or fault of Users in terms of the security, storage, use, and other matters regarding the access tools to the system, and for any damages suffered or may be suffered by Users and/or third parties.
Users acknowledge, declare, and undertake that the information and content provided by them through the website are accurate and lawful. Plus Clinic is not obliged and responsible for investigating the accuracy of the information and content submitted or uploaded, modified, or provided by the users through the website, nor does it guarantee or warrant that such information and content are secure, accurate, and lawful. Furthermore, Plus Clinic cannot be held liable for any damages arising from the incorrect or erroneous information and content.
Users cannot transfer their rights and obligations under the User Agreement, in whole or in part, to any third party without the written consent of Plus Clinic.
Those who benefit from the services provided by Plus Clinic and use the website can only perform transactions on the website for lawful purposes. Users are solely responsible for the legal and criminal liability of every action and transaction they perform on the website. Each User acknowledges, declares, and undertakes that they will not reproduce, copy, distribute, process, or compete directly and/or indirectly with Plus Clinic in any way that would violate the proprietary or personal rights or property of Plus Clinic and/or any other third party, including but not limited to images, texts, visual and audio images, video clips, files, databases, catalogs, and lists found on the website.
Plus Clinic cannot be held directly and/or indirectly liable for any damages that may be incurred or may be incurred by third parties due to the activities of Users on the website that violate the terms of the User Agreement and/or the law.
Users, including third parties, are responsible for the services provided on the website and the content published on it, and Plus Clinic, its employees, or managers are not liable for them. The accuracy and legality of the information, content, visual and audio images provided and published by any third party are entirely the responsibility of the persons who perform these actions. Plus Clinic does not guarantee the security, accuracy, and legality of the services and content provided by users and third parties.
Users agree not to perform any transactions between their memberships or the memberships of their close associates on the website for transferring money and not to engage in behavior that manipulates the functioning of the website. Otherwise, they accept, declare and undertake to compensate for any damage that Plus Clinic may suffer.
5.2. PLUS CLINIC'S RIGHTS AND OBLIGATIONS
Plus Clinic reserves the right to change the Services and content provided on the Website at any time, and to restrict or delete access to the information and content uploaded by Users, including third-party access. Plus Clinic may exercise this right without prior notice. Users are required to promptly comply with any changes requested by Plus Clinic. Users will be held responsible for any damages resulting from their failure to timely comply with Plus Clinic's requests for changes and/or corrections.
Plus Clinic may provide 'links' to other websites, portals, files or content owned and operated by third-party sellers, providers, and other third parties that are not under Plus Clinic's control via the website. These 'links' may be provided by Users or solely for the purpose of reference by Plus Clinic, and do not constitute any representation or warranty of any kind, whether for the website or its operator. The portals, websites, files, and content accessed through 'links' on the website are not the responsibility of Plus Clinic for the services or products offered or the content thereof.
Plus Clinic will not act as a mediator or arbitrator in disputes arising between Users regarding the Services provided on the Website and the Products available on the Website.
Plus Clinic may perform content and/or message scanning as necessary to detect messages and/or content that are contrary to the Website's operation, User Agreement, general rules of the Website, or general ethical rules, which are not acceptable to Plus Clinic, in communication between Users taking place over the Website, and may remove any messages and/or content it detects at any time and in any way. Plus Clinic may terminate a User's membership temporarily or permanently without notice.
By accepting and implementing the User Agreement, no partnership, representation, or employer-employee relationship is established between Plus Clinic and the User.
The User agrees not to violate the legal rights of third parties such as copyright, trademark, and trade name when choosing a username. In the event that a User violates this provision, Plus Clinic may request that the User correct the violation and may terminate the User's membership temporarily or permanently without prior notice.
6 - PRIVACY PROVISIONS
Plus Clinic may use information related to Users in accordance with the regulations set forth in the Privacy Policy on this website. Plus Clinic will not use confidential information related to Users in a manner contrary to the User Agreement and the Privacy Policy.
7 - INTELLECTUAL PROPERTY RIGHTS
Users may not resell, share, distribute, display, reproduce, create derivative works from, or otherwise exploit in any way the Plus Clinic Services, information, and copyrighted works made available through the website, nor may they allow anyone else to access or use Plus Clinic's services. In the event of any such activity, including but not limited to claims for damages and legal fees, Plus Clinic shall not be liable to third parties, including but not limited to licensors.
Plus Clinic reserves all its property rights, including but not limited to all intellectual property rights, tangible and intangible assets, commercial information, and know-how, in its Services, information, and copyrighted works, trademarks, and trade dress, as well as all other materials provided through the website.
Users agree to not infringe on any intellectual property rights, including but not limited to patents, trademarks, trade secrets, and copyrights, of Plus Clinic or any other Users through their use of the website.
8 - AMENDMENTS TO THE AGREEMENT
Plus Clinic may unilaterally and at its sole discretion modify this User Agreement and its annexes at any time by announcing the changes on the Website. The modified provisions of this User Agreement shall become effective on the date of their announcement, while the remaining provisions shall remain in full force and effect.
9 - FORCE MAJEURE EVENTS
In all cases considered as force majeure under the law, Plus Clinic shall not be held responsible for any delay, incomplete or non-performance of any of the obligations set forth in this Agreement. In the event of force majeure, delay, incomplete or non-performance shall not be deemed as default, and the User shall not be entitled to claim any compensation from Plus Clinic under any name. The term force majeure shall be interpreted as unavoidable events beyond the reasonable control of Plus Clinic, including but not limited to natural disasters, riots, wars, strikes, cyber-attacks, communication problems, infrastructure and internet failures, cyber-attacks, system improvement or upgrade works and resulting malfunctions, power outages, and adverse weather conditions.
10 - APPLICABLE LAW AND JURISDICTION
Turkish law shall apply in the implementation, interpretation, and management of legal relationships arising from this User Agreement, including its provisions. In case of any dispute arising from or related to this User Agreement, the Istanbul Courts and Enforcement Offices shall have jurisdiction.
11 - TERMINATION OF THE AGREEMENT
This User Agreement shall remain in effect and continue to produce legal consequences between the parties as long as the User accesses the website and/or remains a member; it shall be deemed terminated in case the User's membership period expires or his/her membership is suspended temporarily or permanently. Plus Clinic may unilaterally terminate this User Agreement and Users shall be liable to compensate for all direct or indirect damages suffered by Plus Clinic in case of violations of this User Agreement and/or similar rules regarding the membership and the Services, particularly in the following cases:
User engages in behaviors that manipulate the operation of the website by using any method,
User transfers or shares the User profile created for himself/herself with others,
User engages in actions that violate the rights of third parties.
Every User who accesses and/or becomes a member of the website shall be bound indefinitely by the provisions of this Agreement.
